End User License Agreement

1. Acceptance of Terms

By accessing or using the All DataCom Solutions vendor management platform ("Service"), you agree to be bound by these End User License Agreement terms ("Agreement"). If you do not agree to all terms of this Agreement, you may not access or use the Service.

This Agreement constitutes a legally binding agreement between you ("User" or "Vendor") and All DataCom Solutions, a licensed security systems contractor ("Company," "we," "us," or "our").

2. Service Description

The Service provides a vendor management platform allowing qualified contractors to:

• Register as approved vendors under our security license
• Create and submit estimates for security system projects
• Manage assigned jobs and track completion status
• Access project documentation and requirements
• Receive payments through our integrated billing system

All work performed through this platform must comply with applicable security industry regulations and licensing requirements.

3. User Registration and Accounts

3.1 Registration Requirements

To access the Service, you must complete our vendor registration process, including:

• Providing accurate business and contact information
• Submitting required documentation (certifications, insurance, etc.)
• Undergoing admin approval before platform access
• Agreeing to work under our security contractor license

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Platform Usage Terms

4.1 Permitted Use

You may use the Service solely for legitimate business purposes related to security systems contracting. You agree to:

• Provide accurate information in all estimates and communications
• Complete assigned work in a professional and timely manner
• Comply with all applicable laws and industry regulations
• Maintain appropriate insurance and certifications
• Respect client confidentiality and data protection requirements

4.2 Prohibited Activities

You agree not to:

• Access or attempt to access other vendors' confidential information
• Interfere with or disrupt the Service or its servers
• Use the platform for any unlawful or unauthorized purpose
• Circumvent security measures or authentication systems
• Directly solicit clients outside the platform framework
• Share login credentials with unauthorized individuals

5. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by All DataCom Solutions and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any original content you submit through the platform (estimates, project documentation, etc.), but grant us a license to use such content as necessary to provide the Service.

6. Payment Terms

Payment for completed work is processed through our integrated QuickBooks system. A 10% platform fee is deducted from payments to cover:

• Security licensing and compliance oversight
• Platform maintenance and support
• Administrative services and client management
• Payment processing and billing services

7. Data Privacy and Security

We take data privacy and security seriously. Our data handling practices are detailed in our Privacy Policy, which is incorporated by reference into this Agreement.

You acknowledge that sensitive business information is processed through this platform and agree to maintain appropriate confidentiality standards.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL DATACOM SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all damages shall not exceed the amount paid by you to us in the twelve months preceding the claim.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including violation of this Agreement.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of North Carolina, without regard to its conflict of law provisions.

Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to Agreement

We reserve the right to modify this Agreement at any time. We will notify users of any material changes via email or platform notification. Continued use of the Service after such modifications constitutes acceptance of the updated terms.
